"Agreement" These Terms & Conditions together with any engagement letter or service agreement entered into between Legaris and the Client.
"We / Us / Our" Legaris, a legal services practice operating at 33 Jalan Gaya, 88000 Kota Kinabalu, Sabah, Malaysia.
"Client / You" Any individual, company, or entity that engages our services or uses our website.
"Services" Legal advisory and representation services offered by Legaris as described on this website and in any engagement documentation.
"Website" The Legaris website accessible at legarisx.live and any associated pages.
"Content" All text, images, documents, and other material published on the Website by Legaris.

2. Acceptance of Terms

By accessing or using our Website, or by submitting an enquiry through our contact form, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please refrain from using the Website.

These Terms apply to all visitors, enquirers, and clients. For formal engagements, a separate engagement letter will be provided outlining the specific scope, fees, and terms applicable to your matter.

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement in order to engage our services.

3. Services Description

Legaris provides legal advisory and representation services in Malaysia, with particular focus on Sabah and East Malaysia. Our current service areas include:

  • Land Dispute Resolution — Advisory and representation in boundary disputes, encroachment claims, and native customary rights matters.
  • Business Licensing Consultation — Guided advisory on SSM registration, sector-specific licensing, and regulatory approvals.
  • Debt Recovery Counsel — Structured advisory and representation for creditors seeking recovery of outstanding amounts.

Service availability may vary. Legaris reserves the right to decline any engagement at its discretion, including where a conflict of interest exists.

4. Client Engagement

A client relationship is formed only upon execution of a formal engagement letter and payment of any required initial fee or retainer. Submitting an enquiry through our website or contacting us does not, by itself, establish a solicitor-client relationship.

  • We will conduct a conflict of interest check before formally accepting any engagement.
  • All engagements are governed by the Legal Profession Act 1976 and the rules of the Malaysian Bar.
  • You will be provided with a written scope of services and fee estimate before work commences on your matter.

5. User Responsibilities

When using our Website and engaging our services, you agree to:

  • Provide accurate, complete, and up-to-date information at all times
  • Not use the Website for any unlawful purpose or in a manner that infringes the rights of any third party
  • Not attempt to interfere with or disrupt the operation of the Website
  • Cooperate with Legaris in a timely manner during the conduct of your matter
  • Promptly notify us of any material changes to your circumstances that may affect your matter
  • Not share confidential communications from Legaris without our prior written consent

6. Intellectual Property

All content published on this Website — including text, design, graphics, and structure — is the property of Legaris or its licensors and is protected under Malaysian copyright law.

You are granted a limited, non-exclusive, non-transferable licence to access and view the Website for personal, non-commercial purposes. You may not reproduce, republish, distribute, or adapt any content without prior written permission from Legaris.

Documents prepared by Legaris in the course of a client engagement remain the intellectual property of Legaris until fees have been paid in full, at which point ownership of the work product transfers to the client as agreed in the engagement letter.

7. Fees & Payment

Our fees are set out in the engagement letter provided to each client. Published pricing on our website (where shown) reflects base advisory fees and is subject to adjustment based on matter complexity.

  • All fees are quoted in Malaysian Ringgit (MYR) and are inclusive of applicable taxes unless otherwise stated.
  • Payment is due in accordance with the schedule set out in the engagement letter.
  • Disbursements and third-party costs (e.g., filing fees, court fees) are charged separately and are not included in base advisory fees.
  • Refund eligibility, where applicable, will be specified in the engagement letter for the relevant matter.

8. Service-Specific Terms

Land Dispute Resolution

Engagements in land dispute matters are subject to timelines that depend on the nature of the dispute, the relevant land authority's processes, and court scheduling where proceedings are involved. Legaris will keep clients informed of material developments. Native customary rights matters may involve coordination with community representatives and relevant statutory authorities.

Business Licensing Consultation

Our advisory covers the identification of applicable licensing requirements and assistance with application preparation. Approval decisions rest with the relevant authorities; Legaris does not warrant that any application will succeed. Typical engagements run two to six weeks depending on licensing complexity.

Debt Recovery Counsel

Debt recovery engagements begin with an assessment of enforceability. Legaris will recommend a course of action based on this assessment and the client's priorities. The duration of an engagement depends on the debtor's response and whether court proceedings are initiated. Clients will be consulted before any escalation to formal proceedings.

9. Disclaimers

The content on this Website is provided for general informational purposes only and does not constitute legal advice. Reading material on this Website does not create a solicitor-client relationship.

Legal outcomes depend on the specific facts of each matter, applicable law, and the decisions of courts or authorities. Legaris does not warrant or represent that any particular outcome will result from the engagement of our services.

While we take care to keep Website content accurate, we do not warrant that it is complete, current, or free from error. Laws and regulations change; you should seek specific legal advice for your circumstances.

10. Limitation of Liability

To the extent permitted by Malaysian law, Legaris shall not be liable for any indirect, consequential, special, or incidental loss arising from your use of the Website or our services, including but not limited to loss of profit, loss of business opportunity, or loss of data.

Our total liability in connection with any matter shall not exceed the fees paid by you for the relevant service, except in cases involving fraud, wilful misconduct, or professional negligence as determined by a competent court.

Nothing in these Terms limits our liability for matters that cannot be excluded under Malaysian consumer protection law or applicable professional standards.

11. Indemnification

You agree to indemnify Legaris, its partners, associates, and staff against any claims, losses, damages, or costs (including reasonable legal costs) arising from your breach of these Terms, your misuse of the Website, or the provision of false or misleading information to us.

12. Termination

Either party may terminate a client engagement by providing written notice, subject to the terms set out in the engagement letter and the requirements of the Malaysian Bar's professional conduct rules.

Upon termination, you remain liable for all fees and disbursements incurred up to the date of termination. Legaris will return your documents and files within a reasonable period, subject to any outstanding payment obligations.

We reserve the right to terminate your access to the Website for any significant breach of these Terms.

13. Dispute Resolution

These Terms are governed by the laws of Malaysia. Any dispute arising from or in connection with these Terms or our services shall be subject to the non-exclusive jurisdiction of the courts of Sabah.

Before initiating formal proceedings, we encourage both parties to first attempt to resolve any disagreement through direct communication. Please contact us at [email protected] to raise any concern.

Where a dispute involves conduct by a Legaris legal professional, complaints may also be referred to the Bar Council Malaysia through the appropriate channels.

14. General Provisions

Entire Agreement: These Terms, together with any engagement letter, constitute the entire agreement between you and Legaris with respect to your use of the Website and our services.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.

Waiver: A failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of our rights under it.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights to a successor in connection with a restructuring of the practice.
